Cash out optie
Cash-out option
A cash-out option is a contractual right entitling a party to convert shares, options or an interest into cash rather than in kind.
The cash-out option is commonly included in shareholders’ agreements, investment contracts and employment arrangements involving share options. It enables the holder, upon an exit, sale of the company or other trigger events, to realise the value in cash without any transfer of shares.
This mechanism is relevant to both investors and employees, as it provides liquidity and facilitates risk management. In practice, it is frequently used in mergers and acquisitions to secure a cash payment and to avoid valuation disputes.
“The shareholder exercised the cash-out option to receive his interest directly in cash upon the sale of the company.”
