limited partner

A limited partner is a partner in a limited partnership whose liability is limited to the amount of his contribution and who does not perform any management or representation duties.

In a limited partnership (CV), two categories of partners are distinguished: the general partner and the limited partner. The limited partner contributes capital without participating in the day-to-day management or representation of the partnership.

This distinction is material because the limited partner enjoys limited liability, thereby shielding his personal assets from the creditors of the partnership, provided he does not interfere in its management.

In practice, the limited partnership is frequently used for investment purposes in which silent partners furnish capital without operational involvement.

“The limited partner has contributed his capital but does not participate in the management of the partnership.”
