Commissaris

Commissioner

A supervisory director is a member of the supervisory board who oversees the management of a company.

In Dutch company law, the supervisory director is responsible for supervising the policy and general affairs of the public limited company. This role is particularly relevant in larger companies where a supervisory board is statutorily required.

The supervisory director safeguards the interests of the company and its stakeholders, advises the management board and approves significant decisions. In doing so, the supervisory director contributes to balanced corporate governance.

In practice, the supervisory director acts as an independent overseer and may intervene in the event of dysfunction within the management board.

“During the meeting, the commissioner raised critical questions regarding the proposed merger plan.”
