Distributieovereenkomst
Distribution Agreement
A distribution agreement is a contract whereby a supplier grants a distributor the right to sell and distribute products or services within a specified territory.
A distribution agreement governs the commercial relationship between a manufacturer or supplier and a distributor. The distributor purchases the goods and resells them under its own responsibility within an agreed territory, often subject to provisions on exclusivity, minimum purchase commitments and marketing.
The agreement is relevant in that it sets forth the terms governing the distributor’s operations, including pricing, protection from competition and intellectual property rights. In doing so, it reduces the risk of disputes concerning territorial demarcation and termination.
In practice, distribution agreements are commonly used in international trade to access new markets without establishing a local presence, making clear provisions on duration, termination and liability essential.
“The supplier concluded a distribution agreement with a Dutch party to sell its products exclusively in the Benelux.”
