Doel
Purpose
The purpose is the description in the articles of association of the activities that a legal entity may undertake and the intended societal benefit thereof.
In Dutch law, the objects of a legal person, such as a BV, NV or foundation, are set out in its articles of association. They define the limits within which the board may act and form an important part of the entity’s internal organisation and external operation.
The objects are relevant because acts falling outside them are in principle ultra vires, although modern legislation and case law have softened this consequence. Nevertheless, a clearly and appropriately drafted objects clause remains important, among other things, for registration with the Chamber of Commerce and for the tax and societal classification of the legal person.
In practice, the objects are often drafted in broad terms to afford sufficient flexibility in the event of changing business activities, while remaining specific enough to preserve the identity of the legal person.
“The purpose of the foundation is to promote education and culture in the region.”
