Issuance of shares

The issuance of shares is the issuing of new shares by a company, thereby increasing its share capital.

The issuance of shares is a legal act by which a company issues new shares to (existing or new) shareholders. This may occur upon incorporation or in a subsequent capital increase and results in an increase of the issued capital.

It is relevant because it enables companies to raise additional equity for investments, expansion or restructuring without incurring debt. Shareholders have, in principle, a pre-emptive right in respect of an issuance.

In practice, an issuance often requires a resolution of the general meeting and must comply with the articles of association and the statutory provisions of Book 2 of the Dutch Civil Code.

“The company resolved to issue shares to finance the acquisition of a competitor.”
