Annual Report

An annual report is the statutorily required document in which a legal entity reports on its financial position and activities for the financial year.

The annual report typically comprises the financial statements, the management report and any other information. Private limited companies (BVs) and public limited companies (NVs) are required to prepare this document and to deposit it in a timely manner with the Chamber of Commerce, so as to enable third parties to obtain insight into the company's affairs.

In legal practice, the annual report is frequently examined in disputes concerning directors' liability, dividend distributions or takeover disputes. Lawyers verify whether the report complies with the requirements of Title 9 of Book 2 of the Dutch Civil Code and whether the information contained therein is accurate and complete.

“The court took the filed annual report as its starting point in assessing whether the board had properly performed its duties.”
