Koopovereenkomst

Purchase Agreement

A contract of sale is a reciprocal agreement whereby the seller undertakes to deliver a thing and the buyer undertakes to pay the purchase price.

A contract of sale is a contract governed by Dutch law in Book 7 of the Civil Code. Under this agreement, the seller undertakes to transfer ownership of a good, while the buyer undertakes to pay a specified price therefor.

This agreement is relevant because it constitutes the basis for the transfer of ownership and governs the mutual rights and obligations of the parties, including delivery, payment and any warranties. In the case of immovable property, the contract of sale is frequently concluded prior to the execution of the notarial deed of transfer.

In practice, a contract of sale is commonly used in connection with the acquisition of dwellings, motor vehicles or other goods, and it is important that the terms are clearly stipulated in order to prevent disputes.

“Following negotiations on the price, the buyer and the seller concluded a purchase agreement for the property.”
