Nominale waarde
Nominal value
The nominal value is the value of a share or security as determined in the articles of association, which serves as the basis for the share capital without regard to current market value.
The nominal value, also known as the par value, is the amount stipulated in a company’s articles of association as the formal value per share. This value partly determines the amount of the issued share capital and constitutes the starting point for the issuance of shares.
In corporate law, the nominal value is relevant to capital increases and reductions, as well as to the calculation of dividend and voting rights. Deviations between nominal and actual value are common and may give rise to tax or civil-law consequences.
For lawyers and notaries, the nominal value is significant in the drafting of articles of association and shareholders’ agreements, as it establishes the minimum contribution obligation.
“The shares were issued at a nominal value of five euros, whereas the market value was substantially higher.”
