Procuratiehouder
Holder of procuration
A procuratiehouder is a representative authorized by a company who is empowered to bind the company to legal acts, such as the execution of contracts.
A holder of procuration is a person to whom the management board of a Dutch company has granted procuration. This confers authority to perform legal acts on behalf of the company, including entering into agreements and carrying out other juridical acts.
This authority is relevant because it enables day-to-day business operations to be conducted more efficiently: the holder of procuration may act without each transaction requiring the personal involvement of the statutory directors. The procuration granted is frequently registered in the commercial register maintained by the Chamber of Commerce, allowing third parties to verify the scope of the representative authority.
In practice, procuration is commonly granted to managers or senior employees within larger enterprises, with the extent of the authority varying from general to limited.
