Qua
As
Qua is a Latin term used in Dutch law to denote the capacity or quality in which a person acts or appears.
The term "qua" is used to indicate the capacity or role in which a person performs a juristic act, for example as a director, partner or representative. This avoids ambiguity as to authority to represent and liability.
In contracts, deeds and proceedings, the use of "qua" helps to specify the context in which the act is performed. It frequently appears in formulations such as "qua vennootschap" or "qua erfgenaam".
The term contributes to legal certainty and is applied primarily in company law and in connection with powers of attorney.
“The shareholder signed the agreement on behalf of the company and not in his personal capacity.”
