Restitution risk

The restitution risk is the risk that a party may be required to return a payment or performance received if the legal basis therefor subsequently lapses or is annulled.

Restitution risk refers to the possibility that a creditor or beneficiary may be required to return a sum or asset received to the other party. This commonly arises where a provisional ruling or payment is later reversed, for example upon the annulment of a contract or the review of a court decision.

This risk is particularly relevant in civil proceedings, administrative matters and contractual arrangements involving payments made subject to reservation. Parties should take this into account when entering into transactions or accepting provisional payments in order to avoid financial uncertainty.

In practice, restitution risk frequently arises in debt collection proceedings or in the recovery of claims that are subsequently disputed. Lawyers regularly advise clients on mitigating this risk through the provision of security or the inclusion of appropriate reservations.

“The buyer accepted delivery subject to the risk of restitution, knowing that the invoice could subsequently be reclaimed if the contract were rescinded.”
