Administrative Office Foundation

A foundation for the administration of shares (STAK) is an independent foundation that holds shares in a company and, in exchange, issues share certificates to the certificate holders.

A foundation for the administration of shares, often abbreviated as STAK, is a legal entity incorporated with the statutory purpose of administering shares. The foundation acquires legal title to the shares and, in exchange, issues certificates, whereby the certificate holders are economically entitled to the proceeds, such as dividends.

This mechanism separates the voting rights attached to the shares from the economic interest. The voting rights remain with the board of the foundation, while the certificate holders are entitled to the financial benefits. This allows control over the company to be concentrated or protected.

In practice, a STAK is frequently used in family-owned businesses, in management buy-outs or to ensure the continuity of an enterprise without the loss of economic participation.

“The shareholders have transferred their shares in the BV to a share administration foundation in order to retain control within the family.”
