Shareholders' Meeting

The shareholders’ meeting is the meeting of the shareholders of a company at which they exercise their voting rights and adopt resolutions on important matters.

The shareholders’ meeting constitutes the highest governing body of a public limited company (naamloze vennootschap) or a private limited company (besloten vennootschap). It is the forum in which the shareholders convene to decide on matters such as the adoption of the annual financial statements, the appointment and dismissal of directors, amendments to the articles of association and the distribution of dividends.

The meeting is significant because it enables shareholders to exercise their control rights and to supervise the management board. In practice, a distinction is drawn between the annual general meeting and extraordinary meetings convened in connection with special events.

“During the shareholders' meeting, the shareholders approved the annual accounts and consented to the appointment of a new director.”
