Aandelen op naam
Registered shares
Registered shares are shares that are registered in the name of a specific shareholder in the company’s shareholders’ register.
Shares in registered form are the mandatory class of shares in Dutch private limited companies (BVs). They are issued in the name of the holder and recorded in the company’s internal shareholders’ register, which maintains a record of the shareholders’ identities and their respective shareholdings.
This method of registration provides legal certainty and traceability. Transfers are effected by notarial deed, thereby protecting the company and the shareholders against uncontrolled changes in ownership. In practice, shares in registered form are commonly used in family businesses and joint ventures to keep the ownership structure transparent and manageable.
“The shareholder transferred his registered shares to the new investor by notarial deed.”
