Aandelenoverdracht
Transfer of Shares
A share transfer is the legal conveyance of shares in a company from one shareholder to another party.
Share transfer is the legal act whereby shares in a private limited company (besloten vennootschap) or public limited company (naamloze vennootschap) are transferred, with the purchaser assuming the rights and obligations of the seller. This process often requires the consent of the company or the other shareholders pursuant to the articles of association or a shareholders’ agreement.
The transfer is relevant as it may alter the ownership structure, control and profit distribution within the company and may have tax or contractual implications.
In practice, share transfers commonly occur in the context of business acquisitions, mergers or when a shareholder wishes to exit, in which case a notarial deed and registration in the share register are generally required.
“Following negotiations on the price, the transfer of shares was recorded in a notarial deed.”
