General Terms and Conditions
General terms and conditions are the standard provisions that a company applies when entering into agreements with customers or suppliers.
General terms and conditions comprise a set of pre-drafted rules that establish the rights and obligations of the parties in a contractual relationship. They govern, inter alia, payment, delivery, liability and warranty.
They are relevant in that they enhance legal certainty and help prevent disputes. In the Netherlands, they must be reasonable and clear in order to be valid under the Civil Code.
In practice, they are frequently presented to customers via websites or quotations, and the customers must consent to them before a contract is concluded.
“Before the agreement was concluded, the customer agreed to the supplier’s general terms and conditions.”
