Benoeming

Appointment

Appointment is the formal designation of a person to a legal office or position by a competent authority.

Appointment refers to the legal act by which a person is appointed to a specific role, such as judge, trustee or director. This appointment confers on the appointee specific powers and duties prescribed by law.

Appointment is relevant in that it ensures the legitimacy of the appointee’s acts and is frequently a prerequisite for the exercise of public or private functions. Without a valid appointment, decisions or acts may be invalid.

In practice, appointment arises regularly in company law in connection with the appointment of directors, in insolvency law with the appointment of a trustee, and in administrative law with regard to public officials or supervisors.

“The shareholders' meeting approved the appointment of the new director.”
