Bestuursreglement
Board Regulations
A board regulation is an internal document that sets out the working methods, powers and procedures of the board of a legal entity.
The board regulations supplement the articles of association and govern the internal organization of the board, including decision-making, the allocation of tasks and meeting procedures. They provide clarity and prevent disputes regarding powers within the board.
In practice, board regulations are primarily used in BVs and foundations to structure governance and manage the liability of directors. The document has internal effect and binds the directors inter se.
“Pursuant to the board regulations, all board resolutions must be recorded in writing.”
