Convocation
Convocation is the formal summoning of shareholders, members or directors to a meeting, such as the general meeting of a company.
Convocation is the act whereby an organ or person within a legal entity is summoned to participate in a meeting at which resolutions may be adopted. In company law, this is governed by the Civil Code and the articles of association, under which notice periods, the method of convocation and agenda requirements apply to ensure the validity of the meeting.
This regulation is relevant because an incorrect or untimely convocation may result in the nullity or voidability of resolutions adopted, thereby safeguarding legal certainty and the interests of the parties concerned. In practice, the articles of association often determine whether convocation is to be effected by letter, email or publication in a newspaper.
In practice, convocation is typically arranged by the board or by a supervisory director authorised for that purpose, subject to minimum notice periods such as fourteen days in the case of a general meeting.
“The general meeting was convened by registered letter specifying the agenda.”
