Handelsovereenkomst
Trade Agreement
A commercial contract is a legally binding agreement between parties acting in the course of their profession or business.
A commercial agreement is a contract that governs the terms for the supply of goods, services or other performances in a commercial context. Such agreements are concluded between entrepreneurs and contain provisions regarding price, delivery, payment and liability.
The significance of a commercial agreement lies in safeguarding the interests of both parties and preventing disputes. In the Netherlands, a commercial agreement is frequently governed by the Civil Code, in particular the provisions on sale and general terms and conditions.
In practice, commercial agreements are commonly used in B2B transactions, such as import and export contracts or long-term supply relationships. Clear written documentation helps to mitigate legal risks and facilitates enforcement.
“The companies entered into a commercial agreement for the supply of machinery with an installment payment arrangement.”
