Annual General Meeting
The annual general meeting is the annual meeting of the shareholders of a company at which the annual accounts are adopted and important resolutions are passed.
The annual meeting, also known as the annual general meeting, constitutes a statutorily required body within Dutch companies, including the private limited company (BV) and the public limited company (NV). Pursuant to the Dutch Civil Code, this meeting must be convened at least once a year to afford shareholders the opportunity to exercise their oversight rights.
This meeting is of particular importance as it is the forum at which the annual accounts are adopted, dividends may be declared, and resolutions concerning the appointment or dismissal of directors and supervisory board members are passed. In practice, proper notice of the meeting and accurate agenda setting ensure that resolutions are legally valid and help to avoid disputes concerning their validity.
“The shareholders approved the 2023 annual accounts during the annual general meeting and agreed to the proposed dividend distribution.”
