Option to Purchase

A purchase option is a contractual right that entitles the holder to acquire an asset, typically real property, on predetermined terms within a specified period.

A purchase option is a unilateral agreement by which the option grantor confers upon the option holder the right to acquire a specified asset. The option holder is under no obligation to purchase but may exercise the right within the agreed period and on the stipulated terms.

This instrument is of particular relevance in real estate transactions, as it enables the prospective purchaser to secure a contractual right to buy while binding the vendor to the agreed sale conditions. An option premium is commonly payable for the grant of this right.

In practice, purchase options are frequently employed in project development and in negotiations for the sale of residential or commercial property, where execution by notarial deed is generally required to ensure validity with respect to immovable property.

“The buyer has stipulated a purchase option over the property, enabling it to decide within six months whether to proceed with the acquisition.”
