Transfer of shares

The delivery of shares is the legal transfer of ownership of shares in a company from the seller to the buyer.

The transfer of shares constitutes the final stage of a share transfer and ensures that the purchaser becomes the legal owner. In the case of a private limited company, this is typically effected by means of a notarial deed of transfer, followed by an update to the share register.

This formality is significant because, absent a valid transfer, title does not pass and the seller remains the registered shareholder. It prevents uncertainty regarding voting rights, dividends and liability.

In practice, the transfer of shares arises in connection with company acquisitions, restructurings or the sale of participations, where tax implications and any blocking or approval clauses in the articles of association may also be relevant.

“Following the execution of the share purchase agreement, the shares were transferred before the notary.”
