Minimum capital

The minimum capital is the minimum share capital prescribed by law that must be paid up upon incorporation of a public limited company (NV).

In Dutch company law, the minimum capital requirement applies to the public limited company (NV). This amounts to €45,000 and must be fully paid up upon incorporation. Since the introduction of the Flex-BV in 2012, no minimum capital requirement applies to the private limited company (BV).

This requirement affords creditors a minimum safeguard and prevents the incorporation of companies with insufficient equity. Compliance with the minimum must likewise be verified in the event of a capital alteration or a contribution in kind.

In practice, the notary verifies in the deed of incorporation whether the minimum capital has been paid up, and registration is effected with the Chamber of Commerce.

“The incorporation of the NV could only be completed after the minimum capital of €45,000 had been paid into the company's bank account.”
