Priority share

A priority share is a share that confers upon its holder special rights, such as priority in dividend distributions or the appointment of directors, as provided in the articles of association.

A priority share is a class of share in a Dutch BV or NV that confers specific rights and privileges on the holder as against ordinary shareholders. These rights may include entitlement to a preferential dividend, veto rights or the right to appoint directors, and are set out in the company’s articles of association.

This type of share is commonly used where founders or family members wish to retain control without holding a majority of the shares. In practice, priority shares are frequently employed in family-owned businesses and joint ventures to safeguard the interests of particular stakeholders and to structure governance.

“Through the priority shares, the founder was able to retain the right to appoint the board of directors.”
