Framework Agreement

A framework agreement is a contract in which the parties establish the general terms and conditions applicable to future specific agreements or assignments.

A framework agreement is a contractual arrangement under which the basic terms governing repeated transactions or deliveries are agreed in advance, without the need to conclude a new, comprehensive contract for each individual order. This type of agreement establishes a framework enabling the parties to transact swiftly and efficiently.

Framework agreements are particularly relevant in sectors involving ongoing collaboration, such as construction, IT services and public procurement, as they ensure consistency of terms and reduce administrative burdens. In practice, specific details are often set out on a case-by-case basis in separate work orders or call-off contracts.

The parties retain the discretion to proceed with performance or not, depending on their requirements.

“The municipality concluded a framework agreement with the contractor for maintenance works on public spaces over the next four years.”
