Vennootschap onder firma

General partnership

A general partnership (VOF) is a form of business association without legal personality in which two or more persons carry on an enterprise under a common name and are jointly and severally liable for its debts.

A general partnership (vennootschap onder firma or VOF) is a contractual arrangement between partners who jointly carry on a business under a common name. The partners contribute capital, labour or assets and are jointly and severally liable without limitation, with their personal assets, for the partnership’s obligations.

This legal form is suitable for entrepreneurs seeking to collaborate with direct personal involvement, without the formalities or limited-liability protection associated with a private limited company. In practice, general partnerships are commonly used for family businesses, small trading enterprises and professional service collaborations.

Formation is effected by means of a partnership agreement and requires registration in the trade register maintained by the Chamber of Commerce, with the partnership name including the designation “vennootschap onder firma” or “VOF”.

“The two accountants decided to continue their practice in the form of a general partnership in order to share the administrative burdens.”
