Association
An association is a legal person established by its members to pursue a common idealistic purpose without a profit motive.
In Dutch law, an association constitutes a legal entity within the meaning of Book 2 of the Civil Code. It is established by a multilateral legal act whereby persons bind themselves to pursue a specific object. The association has members who, through the general meeting, exercise influence over its policy.
The association is relevant in that it offers an accessible legal form for idealistic, cultural, sporting or social activities. Unlike a foundation, it has members and a democratic structure. Incorporation requires articles of association, and registration in the Commercial Register is frequently mandatory.
In practice, associations are widely used by sports clubs, residents’ associations and interest groups. Directors may be held liable for improper management, whereas members are not, in principle, personally liable for the association’s debts.
“The sports club was established as an association to represent the interests of its members and to collect membership dues.”
