Variation clause

A variation clause is a contractual provision by which one party is entitled to unilaterally amend the terms of the agreement.

A variation clause enables one party, typically the employer or service provider, to amend the terms of an agreement without the prior consent of the counterparty. Such clauses are frequently included in employment contracts, general terms and conditions, and consumer agreements.

The clause is significant in that it enhances contractual flexibility, yet remains subject to scrutiny on grounds of reasonableness and fairness. Absent a valid variation clause, unilateral amendments are not permitted and mutual consent is required.

In practice, the clause is regularly invoked in response to changed circumstances, such as adjustments to salary, working hours or delivery terms, provided the amendment does not impose an unreasonable burden on the other party.
