Aanbod
Offer
An offer is a proposal by one party to the other to enter into a contract on specified terms.
An offer in Dutch contract law constitutes a unilateral legal act by which the offeror expresses its intention to enter into an agreement with a specific content. Together with acceptance, it forms the basis for the formation of a contract pursuant to Article 6:217 of the Dutch Civil Code.
The offer must be sufficiently definite and directed at the conclusion of a binding agreement. In principle, an offer may be revoked before acceptance, unless it has been rendered irrevocable or the other party could reasonably have relied on its irrevocability.
In practice, the distinction between an offer and an invitation to negotiate is material, as only an offer results in a binding agreement upon acceptance.
