Supervisory Board
The Supervisory Board is the supervisory body of a company. It supervises the management board and advises thereon.
The supervisory board, often abbreviated as SB, is the body under Dutch company law that oversees the management board’s policy and the general course of affairs within the company. In companies subject to the structural regime, the appointment of a supervisory board is mandatory where the statutory criteria are satisfied.
The supervisory board’s principal duties are to supervise the management board, to advise on strategic decisions and to approve certain management board resolutions where required by the articles of association or by law. Its members are non-executive and are required to be independent.
In practice, the supervisory board contributes to sound corporate governance and ensures a balanced consideration of the interests of the company, its shareholders and other stakeholders.
“The supervisory board has unanimously approved the proposal of the management board to make a new acquisition.”
